Terms & Conditions

These Terms & Conditions explain the rules that apply when you use joewebsolutions.com, request a quote, purchase a service, subscribe to a recurring plan, approve a project, or otherwise work with Joe Web Solutions.

Terms at a glance

We aim to keep scope, pricing, responsibilities, and approvals clear before work begins. Services are delivered according to the agreed scope, recurring services continue until cancelled, and third-party usage or platform charges are separate unless specifically included in writing.

01 / Agreement

Acceptance of these Terms

By accessing joewebsolutions.com, requesting services, accepting a proposal, paying an invoice, subscribing to a recurring service, approving work, or otherwise engaging Joe Web Solutions, you agree to these Terms & Conditions and any additional written terms that apply to the specific service.

If you are acting for a company or other organization, you confirm that you have authority to accept these Terms on its behalf.

02 / Services & Scope

Services are based on the approved scope

Joe Web Solutions provides digital business services that may include CRM setup and management, automation, web design and website support, ecommerce support, Virtual Assistant services, data management, research, brand and marketing design, product or item image creation, social media publishing, blog content, AI-assisted content, reporting, and related digital operations.

The exact service, deliverables, quantities, platforms, timelines, revision limits, and support responsibilities are determined by the applicable proposal, order form, invoice, service selection, assessment, written message, or other confirmed scope.

Work that is not clearly included in the approved scope is considered additional work and may require a separate quote, change order, additional hours, or written approval before it is started.
03 / Quotes & Pricing

Prices are based on scope and may change before approval

Website prices, plan-builder estimates, service cards, starting prices, and other public pricing are intended to help clients understand typical costs. Final pricing may depend on project complexity, content volume, integrations, required tools, turnaround time, quantity, access conditions, and the final approved scope.

Any quote or estimate is valid for the period stated in the quote. If no validity period is stated, Joe Web Solutions may revise pricing before the client approves and pays for the work.

Automatic currency display

The website may automatically display prices in a visitor's local currency using location and exchange-rate information. Converted prices are provided for convenience and may change with exchange rates. The currency and amount shown on the final invoice, checkout, or written service order control the actual amount due.

04 / Payments & Billing

Payment terms depend on the service selected

Clients agree to pay all fees, taxes, approved expenses, usage charges, and other amounts shown on the applicable invoice, checkout, proposal, or service order by the stated due date.

  • Recurring services are generally billed in advance for the upcoming service period.
  • One-time setup fees are due before setup or onboarding work begins unless otherwise stated in writing.
  • Design, creative, and other defined one-time deliverables may require full payment before production begins.
  • Larger custom projects may use deposits, milestone payments, or another payment schedule stated in the proposal.
  • Late, failed, disputed, or reversed payments may result in paused work, restricted access, or suspension of service.

Clients are responsible for keeping valid billing information on file when recurring billing is enabled.

05 / Recurring Services

Monthly services continue until cancelled

Recurring services may include the Business Backbone, Virtual Assistant plans, Social Media Posting & Blog Creation, CRM management, maintenance, support, or other subscription-based services identified as monthly or recurring.

Unless a written service order states otherwise, recurring services renew automatically for successive monthly periods until cancelled. A cancellation request should be submitted at least seven calendar days before the next billing date to avoid the next renewal charge.

Cancellation takes effect at the end of the current paid service period. Partial-month refunds or credits are not provided unless required by law or specifically agreed in writing.

06 / Client Responsibilities

Clients must provide what is reasonably needed to complete the work

Clients are responsible for providing accurate information, timely decisions, approvals, required access, content, brand assets, product information, legal disclosures, policies, credentials, and other materials reasonably needed to perform the service.

  • Client-provided content must be accurate, lawful, and authorized for use.
  • The client is responsible for reviewing names, prices, contact information, claims, legal text, promotions, product details, and other business information before final approval.
  • Clients must respond to reasonable questions and approval requests in a timely manner.
  • Clients must not request work that infringes intellectual property, violates law, misleads customers, or breaches third-party platform rules.
07 / Access & Credentials

Secure access is a shared responsibility

Some services require access to websites, CRM systems, social media accounts, hosting, domains, ecommerce platforms, analytics, advertising accounts, files, email systems, or other client-controlled tools. Clients authorize Joe Web Solutions to use the access provided only as reasonably necessary to perform the agreed services.

Clients remain responsible for account ownership, administrator recovery methods, billing relationships, user permissions, and maintaining secure credentials. Where practical, role-based access or delegated access should be used instead of sharing primary passwords.

08 / Websites & Ecommerce

Website work is limited to the agreed pages and functionality

Website packages include only the pages, functionality, integrations, content support, revisions, and responsive requirements stated in the approved scope. Additional pages, advanced ecommerce features, membership systems, large product catalogs, custom applications, advanced copywriting, major migrations, or specialized integrations may require additional fees.

Clients are responsible for final approval of website content, legal notices, product information, pricing, claims, policies, accessibility requirements specific to their business, and any regulated-industry disclosures.

Domains, hosting, premium plugins, paid themes, third-party apps, stock media, payment-processing fees, and other external costs are separate unless expressly included.

09 / CRM & Automation

Automation depends on connected systems and third-party availability

CRM and automation services may include pipelines, forms, calendars, workflows, notifications, email or SMS actions, tags, opportunities, webhooks, API connections, data movement, and other configured processes within the agreed scope.

Automation results depend on the accuracy of client data, connected accounts, third-party APIs, platform permissions, message-delivery providers, phone carriers, email systems, and other external services. Joe Web Solutions does not guarantee uninterrupted operation of third-party platforms or delivery of every automated message.

A workflow described as “standard,” “advanced,” or “complex” is priced according to the actual triggers, branches, conditions, delays, external integrations, testing requirements, and maintenance involved—not only the number of visible steps.
10 / Virtual Assistant Support

VA plans provide a defined monthly time allocation

Virtual Assistant services may be used for supported administrative, CRM, data, research, website, ecommerce, content, customer follow-up, reporting, workflow, design, and digital operations tasks within the selected monthly hour allocation and agreed scope.

  • VA hours are a capacity allocation, not an unlimited-services plan.
  • Work performed within the VA plan uses the available monthly hours, including supported website, workflow, design, content, and related tasks.
  • Unless expressly stated otherwise in writing, unused hours expire at the end of the applicable billing period and do not roll over.
  • If the monthly allocation is exhausted, additional work may be deferred to the next service period, completed through an approved plan upgrade, or separately quoted.
  • Time estimates are reasonable estimates and may vary based on complexity, access, revisions, data quality, and client response times.
11 / Design & Content

Creative deliverables are provided according to the selected service

Brand & Marketing Design services may include logos, business cards, flyers, brochures, advertisement creatives, product or item images, and other digital or print-ready assets identified in the approved order.

Unless otherwise stated, static design services include up to three reasonable revision rounds. A revision round means one consolidated set of changes submitted at the same time. New concepts, major direction changes, additional versions, or changes requested after final approval may be quoted separately.

Final approved design assets are delivered digitally in the formats included with the service. Print-ready files are provided where the selected design is intended for print. Printing, physical production, shipping, specialty prepress, and vendor charges are not included unless expressly stated.

Social Media Posting & Blog Creation

Recurring social-media and blog services are delivered according to the selected plan and connected accounts. The client must connect or authorize the social accounts required for publishing. Platform availability, account restrictions, content review, and third-party policy changes may affect publishing.

12 / Revisions & Approvals

Feedback should be clear, consolidated, and timely

Revision allowances apply only to the deliverable originally approved in the scope. Clients should provide consolidated feedback whenever possible. Requests that materially change the agreed direction, add new deliverables, introduce new functionality, or reverse previously approved work may be treated as additional scope.

Once the client gives final approval, Joe Web Solutions may consider the deliverable complete. Post-approval changes are not automatically included unless the applicable plan includes ongoing maintenance or support.

13 / Third-Party Services

External platforms have their own fees and terms

Joe Web Solutions may configure or work with third-party services such as hosting companies, domain registrars, CRM infrastructure, email and SMS providers, phone services, ecommerce platforms, payment processors, analytics tools, social networks, AI services, stock-media providers, advertising platforms, and other software.

Unless expressly included in writing, third-party subscriptions, usage charges, messaging or calling costs, domain fees, hosting, advertising spend, premium apps, payment-processing fees, AI usage, licenses, and similar external charges are the client's responsibility.

Joe Web Solutions is not responsible for outages, policy changes, data loss, pricing changes, account restrictions, suspensions, API changes, or other acts or omissions of independent third-party providers.

14 / Intellectual Property

Rights transfer after full payment, subject to existing materials

Unless otherwise stated in writing, the client receives rights to the final custom deliverables created specifically for the client after all amounts due for those deliverables have been paid in full.

Joe Web Solutions retains ownership of pre-existing know-how, reusable methods, templates, frameworks, internal tools, code libraries, processes, general techniques, and other materials developed independently of the client project. Third-party fonts, stock assets, plugins, software, templates, libraries, or licensed materials remain subject to their original licenses.

Unused concepts, drafts, working files, internal notes, and source or production files are not included unless specifically stated in the approved scope.

Unless the client has requested confidentiality in writing before publication, Joe Web Solutions may display non-confidential completed work, screenshots, or project descriptions in a portfolio, case study, or marketing material.

15 / Confidentiality & Security

We use reasonable safeguards, but no system is risk-free

Joe Web Solutions will use reasonable care when handling confidential client information and will use it only as needed to perform services, support the client relationship, meet legal obligations, or protect legitimate business interests.

Reasonable technical and organizational measures may include access controls, secure account practices, software updates, role-based permissions, encrypted connections where supported, backups where applicable, and malware or threat-protection features.

No website, cloud platform, email system, CRM, device, network, or electronic storage method can be guaranteed to be completely secure or free from malware, spyware, unauthorized access, outages, or data loss. Clients are responsible for maintaining appropriate security practices on systems and devices they control.

16 / Timelines & Delays

Delivery dates depend on scope, access, and client response times

Any timeline or completion date is an estimate unless expressly guaranteed in writing. Timelines may change because of revision volume, expanded scope, missing content, delayed approvals, access problems, third-party outages, platform limitations, holidays, technical issues, or other circumstances outside reasonable control.

If client feedback, materials, access, or approvals are delayed, Joe Web Solutions may reschedule the work based on current availability.

17 / Cancellation & Refunds

Cancellation and refund rules depend on the service

Recurring services may be cancelled according to the recurring-service terms above. One-time setup fees, completed work, reserved capacity, approved milestones, third-party costs, and work already performed are generally non-refundable unless required by law or specifically stated otherwise in writing.

If a service, proposal, or promotion includes a written satisfaction guarantee, trial period, or money-back guarantee, the specific conditions shown with that offer apply only to the eligible service and only for the stated period.

If a client cancels a one-time project after work has started, Joe Web Solutions may retain amounts already paid to cover work completed, time reserved, approved expenses, and non-refundable third-party charges. Any additional balance for completed approved work remains payable.

18 / Disclaimers

Business results cannot be guaranteed

Joe Web Solutions provides professional digital services but does not guarantee specific sales, leads, rankings, traffic levels, conversion rates, advertising performance, revenue, profitability, search-engine positions, social-media growth, email deliverability, or other business outcomes.

Recommendations are based on available information and professional judgment. Clients remain responsible for business decisions, legal compliance, industry-specific obligations, financial decisions, tax matters, regulated claims, and final review of content and systems used in their business.

Services are provided on an “as available” basis to the maximum extent permitted by law, subject to any written warranties expressly included in a specific service agreement.

19 / Limitation of Liability

Liability is limited to the extent permitted by law

To the maximum extent permitted by applicable law, Joe Web Solutions will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, loss of business opportunity, loss of data, business interruption, or reputational loss arising from the website or services.

To the maximum extent permitted by law, the total aggregate liability of Joe Web Solutions for a claim relating to a specific service will not exceed the amount actually paid to Joe Web Solutions for that service during the three months immediately preceding the event giving rise to the claim, or the amount paid for the one-time project giving rise to the claim, whichever is applicable.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

20 / Indemnification

Clients are responsible for materials and instructions they provide

To the extent permitted by law, the client agrees to defend, indemnify, and hold harmless Joe Web Solutions from third-party claims, losses, liabilities, damages, and reasonable costs arising from client-provided content, unauthorized materials, unlawful instructions, infringement of third-party rights, misuse of deliverables, violation of platform rules, or breach of these Terms.

21 / Suspension & Termination

Services may be paused or ended when necessary

Joe Web Solutions may suspend or terminate services for non-payment, abuse, unlawful activity, repeated failure to provide required access or approvals, security concerns, material breach of these Terms, misuse of systems, or conduct that creates unreasonable legal, technical, or reputational risk.

Upon termination, the client remains responsible for amounts due for work performed, approved expenses, active third-party charges, and any other non-refundable commitments made for the project.

22 / Governing Law

These Terms are governed by applicable Canadian law

Unless a written agreement states otherwise, these Terms and the relationship between the client and Joe Web Solutions are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-law principles.

Before starting formal legal proceedings, the parties agree to make a reasonable good-faith effort to resolve disputes through direct communication. Subject to any mandatory law that applies, disputes that cannot be resolved informally will be brought before the courts with jurisdiction in Alberta, Canada.

23 / Changes to These Terms

These Terms may be updated as the business changes

Joe Web Solutions may update these Terms when services, pricing structures, technology, vendors, legal requirements, or business practices change. The current version will be posted on this page with an updated revision date.

Changes do not retroactively alter a fully executed written agreement unless the agreement allows the change or both parties agree. Continued use of the website or renewal of recurring services after updated Terms take effect constitutes acceptance of the updated Terms to the extent permitted by law.
